Advising Suncorp in the preparation of detailed submissions to the ACCC resulting in an unconditional ACCC merger clearance for its A$7.8 billion acquisition of Promina (including the AAMI brand) and an unconditional merger clearance for Suncorp’s acquisition of GIO General Insurance.
Advising Aurizon Network on the content and drafting of successive and complex rail access undertakings, including preparation of supporting detailed submissions for the gaining of approval for those undertakings by the Queensland Competition Authority and on a range of commercial and regulatory matters including competition law advice.
Advising Wilmar in the negotiation and drafting of complex multi-party sugar marketing arrangements for compliance with the Sugar Industry Act, in the negotiating and drafting of a range of cane supply arrangements linked to the sugar marketing arrangements. Eddie is also advising in relation to research and development, commercialisation and licensing arrangements in respect of sugar production related technology and patents, including the negotiation and drafting of legal arrangements and advice on plant breeder rights.
Adviser to Queensland Health on a range of ICT acquisition projects including the acquisition of its business-critical Health Based Corporate Information System (HBCIS) and in relation to various procurement and funding agreements and commercial contracts for the acquisition and delivery of services to public hospitals and public system patients by private sector providers.
Advising Queensland Treasury on a range of competition law and TMT projects including advising on the State of Queensland’s submission to the Federal Government on proposed changes to the Competition and Consumer Act 2010, which identified a gap in the law and resulted in the introduction of section 45(8AA) to the Act.
Advised on ICT system acquisition and maintenance agreements, including outsourcing agreements, agreements for the acquisition of legacy systems from AMP following the acquisition of GIO General Insurance, transitional arrangements following the acquisition of Promina and on the acquisition of business-critical insurance pricing engine software and CRM systems.
Drafted and negotiated contracts for the procurement of its domestic and international in-flight catering services, including service delivery standards, inventory management procedures, point-of-sale procedures, IT services and service benchmarking procedures.
