Rommel specialises in project finance, corporate and structured finance, acquisition finance, derivatives and restructuring.

He advises and represents financiers, borrowers, sponsors, equity investors and government bodies. He has acted in relation to financing major projects (particularly social and economic infrastructure), power generation, resource projects and PPPs, as well as corporate and structured finance, acquisition finance and derivatives.

Rommel is a member of APLMA: Asia Pacific and is also an adviser to the Homeless Persons’ Legal Service.

Key deals

Central West Orana Renewable Energy Zone

Advised the preferred Network Operator, ACEREZ (Acciona, Cobra, Endeavour Energy and Capella), in relation to the first NSW renewable energy zone procured under a PPP model.  Advising in respect of the project debt, including rewiring the nation funding from CEFC.

Melbourne Metro Tunnel and Stations PPP

Advised the Cross Yarra Partnership on amending and extending its debt facilities in connection with an alignment and settlement process with the State of Victoria and the subcontractors.

Tetris Capital

Advised a leading social infrastructure developer and investor, on a landmark matter involving the development of 483 affordable homes in Queensland. 

Coca-Cola

Advised as Australian counsel to Coca-Cola European Partners (CCEP) on financing aspects of its A$11.3 billion acquisition of Coca-Cola Amatil. The team advised CECP on the €4.4 billion financing of the deal which included due diligence on Amatil’s financing and hedging arrangements of the debt financing to fund the acquisition. In addition to the acquisition debt, the financing involved a sustainability linked facility.

Harbourside, Darling Harbour

Advised Mirvac and MEA on financing the redevelopment pursuant to an AFL with Place Management NSW.

Plenary’s investment in 9 PPPs

Advised Manulife and TD Asset Management as lenders to Plenary Group Holdings on the refinance of ‘holdco’ debt relating to Plenary’s investment in 9 PPPs.

ALTRAC

Acting for the ALTRAC consortium, including Acciona, Alstom, Capella Capital and Transdev, in respect of the debt funding for its successful bid for the CBD and South East Light Rail PPP.

Housing Australia Future Fund

Advising numerous sponsors and borrowers, including St George Community Housing and Hume Housing, on all aspects, including senior, mezzanine and junior debt, in relation to multiple projects with availability payments, concessional loans and / or grants from Housing Australia under all HAFFF funding rounds.
