Advised Coca-Cola European Partners plc on key Australian tax aspects of its acquisition of Coca-Cola Amatil Limited, valued at A$11.1 billion.

Bolton Clarke

Advised Bolton Clarke on the tax aspects of its acquisition of Allity Aged Care homes from Archer Capital and other minority holders by way of a share sale and purchase agreement. This is the largest ever M&A transaction in the Australia aged cared sector.

Rio Tinto

Advised Rio Tinto on the entry into a joint venture with respect to the Western Range iron ore project in the Pilbara, Western Australia with China Baowu Steel Group Co. Ltd.

YTL Power Investments Limited

Advising YTL Power Investments Limited (a wholly-owned indirect subsidiary of YTL Power International Berhad) on the disposal of its 33.5% stake in ElectraNet Pty Ltd to Australian Utilities Pty Ltd as trustee of Australian Utilities Trust having previously advised YTL on the acquisition of its stake in ElectraNet.

Pelion Green Future Gamma

Advised on the acquisition of a portfolio of 10 wind and solar farm assets spread across New South Wales, Victoria and Queensland at various stages of development. This included advice on shareholder agreements, funding agreements, corporate structuring, FIRB requirements and due diligence.

AngloGold Australia

Advising on all aspects of the development of two new renewable energy projects to be collocated with existing energy supplies at its Sunrise Dam and Tropicana gold mines in Western Australia. The projects will involve the development of approximately 160MW of generation capacity from wind farms, solar farms and battery energy storage systems.

Lumea

Advising on the development of a new grid-scale Battery Energy Storage System (for up to 300 MW) to be located in Victoria. In a first for Australia, the project is intended to be fully funded by private sector market participants without using government funding to demonstrate that batteries can be commercially developed on an independent unsubsidised basis and thereby accelerating Australia’s clean energy transition.

St Baker Energy Holdings Pty Ltd

Advising St Baker Energy Holdings Pty Ltd as trustee for the St Baker Energy Innovation Trust (St Baker) in its investment in AMSL Innovations. AMSL Aero is a flying vehicle start-up that has designed an electric Vertical Take Off and Landing air taxi, ‘Vertiia’, which is battery-powered and also equipped to use hydrogen as a fuel source.
